1. Acceptance of Terms
By accessing or using Classario (the "Service") you agree to be bound by these Terms & Conditions ("Terms") and our Privacy Policy, which are incorporated herein by reference. If you do not agree, do not use the Service. These Terms constitute a legally binding agreement between you and LENEDO TECH FZ-LLC.
2. Eligibility
You must be at least 18 years of age and have the legal capacity to enter into contracts to use Classario. By registering, you represent and warrant that you meet these requirements. The Service is intended for independent educators, tutors, coaches, and small teaching businesses.
3. Account Registration
You agree to provide accurate, complete, and current information during registration and to keep it updated. You are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account. Notify us immediately of any unauthorised access at help@classario.com.
4. Subscription Plans & Payment
Plans
Classario offers free and paid subscription plans. Features available under each plan are described on our pricing page at classario.com/pricing.
Billing
Paid subscriptions are billed in advance on a monthly or annual basis. All fees are stated in USD unless otherwise indicated and are exclusive of applicable taxes.
Upgrades / Downgrades
Plan changes take effect at the start of the next billing cycle. Prorated credits may be applied at our sole discretion.
Refunds
Fees are non-refundable except where required by applicable law or expressly stated in our refund policy.
Late Payment
We reserve the right to suspend or terminate access for overdue payments after reasonable notice.
5. Acceptable Use
You agree not to:
• Use the Service for any unlawful purpose or in violation of applicable regulations.
• Upload, transmit, or store content that is illegal, defamatory, infringing, or harmful.
• Attempt to gain unauthorised access to any part of the Service or its systems.
• Reverse-engineer, decompile, or create derivative works from any Service component.
• Use automated scripts or bots to scrape, crawl, or extract data.
• Resell, sublicense, or commercially exploit the Service without written consent.
• Impersonate any person or entity or misrepresent your affiliation.
6. AI Features (Cleo)
Classario includes Cleo, an AI-powered teaching assistant that generates lesson plans, homework, messages, and suggestions. You acknowledge that:
• AI-generated content is provided for assistance only and may contain errors.
• You are solely responsible for reviewing and approving any AI-generated content before use.
• We do not guarantee the accuracy, completeness, or suitability of AI outputs.
• Prompts you submit may be used in anonymised form to improve AI models, as described in our Privacy
Policy.
7. Intellectual Property
Our IP
The Service, including its software, design, trademarks, and content, is owned by or licensed to LENEDO TECH FZ-LLC. Nothing in these Terms transfers ownership of any IP to you.
Your Content
You retain ownership of content you upload or create. By uploading content, you grant us a worldwide, royalty-free, non-exclusive licence to host, display, and process it solely to provide the Service.
Feedback
Any suggestions or feedback you provide may be used by us without restriction or compensation.
8. Third-Party Integrations
The Service may integrate with third-party tools (e.g., payment gateways, calendar apps, communication platforms). We are not responsible for the availability, accuracy, or privacy practices of third-party services. Your use of such integrations is governed by the respective third-party terms.
9. Confidentiality
Each party agrees to keep the other's confidential information strictly confidential and not to disclose it to third parties without prior written consent, except as required by law or to the extent necessary to provide the Service.
10. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LENEDO TECH FZ-LLC AND ITS DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS OR DATA, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNTS PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.
12. Indemnification
You agree to indemnify, defend, and hold harmless LENEDO TECH FZ-LLC and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, and expenses (including reasonable legal fees) arising out of your use of the Service, your content, or your violation of these Terms.
13. Termination
By You
You may cancel your account at any time via the platform settings. Cancellation takes effect at the end of the current billing period.
By Us
We may suspend or terminate your account immediately if you breach these Terms, if required by law, or if continued operation would harm the Service or other users.
Effect
Upon termination, your right to access the Service ceases. Provisions that by their nature should survive (IP, liability, indemnification, governing law) will continue in full force.
14. Governing Law & Dispute Resolution
These Terms are governed by the laws of the United Arab Emirates, specifically the laws of the Emirate of Dubai. Any dispute shall first be attempted to be resolved amicably. If unresolved within 30 days, disputes shall be submitted to the exclusive jurisdiction of the Courts of Dubai, UAE.
15. Modifications
We reserve the right to modify these Terms at any time. We will provide at least 14 days' notice of material changes via email or in-app notification. Continued use after the effective date constitutes acceptance of the revised Terms.
